By accessing, browsing, or using any services provided by Pipe Network ("we," "us," or "our"), including our website, APIs, dashboards, software, documentation, and any related tools or services (collectively, the "Services"), you unconditionally agree to be bound by these Terms of Service ("Terms") in their entirety. If you do not agree to every provision of these Terms, you must immediately discontinue all use of the Services.

These Terms constitute a binding legal agreement between you and Pipe Network. They apply to all users of the Services, including developers, node operators, end users, and any person or entity that interacts with the Services in any capacity. Your continued use of the Services at any time constitutes ongoing acceptance of the then-current Terms.

Pipe Network is an edge cloud platform that enables fast, distributed data delivery and storage. Our current products include:

• Pipe CDN — Content delivery powered by a distributed network of independent PoP operators.
• Pipe Storage — S3-compatible object storage distributed across edge infrastructure.
• Accelerated Transport — Encrypted host-to-host data transfers for AI workloads.
• SolanaCDN — Reliability and telemetry for Solana validators.

We reserve the right to modify, suspend, or permanently discontinue any product, feature, or aspect of the Services at any time, with or without notice, and without liability to you. We are under no obligation to maintain, support, or update any particular feature or functionality. The availability of any Service does not constitute a commitment to continue offering it.

To use certain Services, you may need to create an account. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, whether or not authorized by you. You must provide accurate and complete information and keep it current at all times.

We reserve the right to suspend, limit, or terminate any account at our sole discretion, for any reason, including but not limited to suspected violations of these Terms, security concerns, inactivity, or operational needs. We are not obligated to provide advance notice or explanation for any such action. You agree that Pipe Network will not be liable to you or any third party for any suspension or termination of your account or access.

You agree not to use the Services to, and you represent and warrant that you will not:

• Violate any applicable law, regulation, or third-party rights.
• Distribute malware, conduct attacks, or engage in any activity that disrupts the network.
• Attempt to gain unauthorized access to any part of the Services or its infrastructure.
• Scrape, crawl, or collect data from the Services without prior written permission.
• Store or transmit content that is unlawful, harmful, or infringes on intellectual property.
• Interfere with or degrade the performance of the network for other users.
• Misrepresent your identity or affiliation with Pipe Network.
• Use the Services in any manner that could damage, disable, overburden, or impair any Pipe Network infrastructure.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services.
• Benchmark, test, or evaluate the Services for the purpose of competing with Pipe Network without prior written consent.

Pipe Network reserves the sole right to determine what constitutes a violation of this section. Any violation may result in immediate termination of your access without prior notice or refund.

All content, software, trademarks, logos, designs, and intellectual property associated with the Services are and remain the exclusive property of Pipe Network or its licensors. Nothing in these Terms grants you any right, title, or interest in the Services beyond the limited right to use them in accordance with these Terms. You may not copy, modify, distribute, sublicense, or create derivative works based on any of our materials without prior written consent.

By uploading, submitting, or transmitting any data, content, or materials to or through the Services ("User Content"), you grant Pipe Network a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, create derivative works from, distribute, and display such User Content in connection with operating, improving, and promoting the Services and Pipe Network's business. This license survives termination of your account.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe any third-party rights.

If you operate a node (PoP) on the Pipe Network, the following additional terms apply and are supplemental to all other provisions of these Terms:

• You agree to operate your node in full compliance with all applicable laws, regulations, and these Terms. You are solely responsible for ensuring such compliance.
• You bear all costs, risks, and responsibility for the infrastructure, bandwidth, electricity, connectivity, uptime, and maintenance of your node. Pipe Network assumes no responsibility for any costs you incur.
• Pipe Network may set, modify, or revoke performance, availability, and quality requirements for node participation at any time, at its sole discretion.
• We reserve the right to remove, suspend, or deprioritize any node at any time, for any reason, including but not limited to failure to meet operational standards, network optimization, or at our sole discretion, without prior notice or compensation.
• Compensation, if any, is entirely at Pipe Network's discretion and subject to the terms of any active operator program, which may be modified or discontinued at any time. Past compensation does not guarantee future compensation.
• You grant Pipe Network unrestricted access to all data generated by or passing through your node, including performance metrics, telemetry, and operational data.
• Node operators are independent parties and not employees, agents, or partners of Pipe Network. Nothing in these Terms creates any employment, partnership, or agency relationship.

Certain Services are offered on a usage-based pricing model. Pricing is published on our website and is subject to change at any time. Continued use of the Services after a pricing change constitutes acceptance of the new pricing. You agree to pay all applicable fees, charges, and taxes associated with your use of the Services.

All fees are non-refundable except as expressly stated by Pipe Network in writing. Failure to pay any amount when due may result in immediate suspension or termination of your access, and you remain liable for all outstanding amounts. Pipe Network may use third-party payment processors and is not responsible for their actions or policies.

The Services are provided strictly on an "as-is," "as-available," and "with all faults" basis. Pipe Network makes no representations or warranties of any kind regarding the Services, including their reliability, availability, accuracy, completeness, security, or fitness for any purpose.

To the fullest extent permitted by applicable law, Pipe Network expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

Without limiting the foregoing, Pipe Network does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Pipe Network does not guarantee the integrity, accuracy, or preservation of any data stored on or transmitted through the Services. You are solely responsible for maintaining independent backups of your data.

We may perform maintenance, updates, migrations, or modifications at any time that may temporarily or permanently affect availability, and we are under no obligation to notify you in advance.

To the maximum extent permitted by applicable law, in no event shall Pipe Network, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of profits, revenue, data, use, goodwill, business opportunities, or other intangible losses, arising out of or related to your access to or use of (or inability to use) the Services, regardless of the theory of liability (whether contract, tort, strict liability, or otherwise) and even if Pipe Network has been advised of the possibility of such damages.

To the maximum extent permitted by law, Pipe Network's total aggregate liability for all claims arising out of or related to the Services shall not exceed the lesser of (a) the amounts you actually paid to Pipe Network in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). This limitation applies to all causes of action in the aggregate, including but not limited to breach of contract, tort, negligence, and any other legal theory.

You acknowledge that this limitation of liability reflects a reasonable allocation of risk and is a fundamental element of the agreement between you and Pipe Network.

You agree to indemnify, defend, and hold harmless Pipe Network and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising out of or relating to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (f) any dispute between you and a third party related to the Services.

This indemnification obligation survives the termination of these Terms and your use of the Services. Pipe Network reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with our defense of such claims.

Pipe Network may suspend, restrict, or terminate your access to the Services at any time, for any reason or no reason, with or without notice, and without any liability to you. Reasons may include, but are not limited to, violations of these Terms, operational or business decisions, network optimization, or any conduct that Pipe Network, in its sole judgment, deems harmful or inappropriate.

Upon termination, all rights granted to you under these Terms cease immediately. You must immediately discontinue all use of the Services. Pipe Network is not obligated to retain, return, or provide access to any of your data or User Content following termination. You are responsible for exporting any data you wish to preserve prior to termination.

Sections relating to intellectual property, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive termination will remain in full force and effect.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration administered on an individual basis. You expressly waive any right to participate in a class action, class-wide arbitration, or any consolidated or representative proceeding. You also waive the right to a trial by jury.

Any claim you may have arising out of or related to the Services must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.

Pipe Network reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. We may, but are not obligated to, notify you of material changes. It is your responsibility to review these Terms periodically. Your continued use of the Services following any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the updated Terms, your sole remedy is to discontinue use of the Services.
